Welcome to Emma & Blake New York. In these Terms, "we", "us" and "our" refer to Emma & Blake New York. We operate this website and online store, including all related content, features, tools, products and services, to offer you a curated shopping experience (the "Services"). Emma & Blake New York is built on Shopify, which powers the platform enabling us to provide the Services to you.

The terms and conditions below, along with any referenced policies (these "Terms of Service" or "Terms"), describe your rights and obligations when using our Services.

Please read these Terms carefully, they include important information about your legal rights, warranty disclaimers and limitations of liability.

By visiting or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use or access our Services.

Any new features or tools added to our store are also subject to these Terms. We reserve the right to update these Terms at any time by posting changes to this page. Your continued use of our Services after any changes are posted means you accept them.

Section 1 – Access and Account

By agreeing to these Terms, you confirm that you are at least the age of majority in your state or country of residence, and that you consent to any minor dependents using our Services on a device you own or manage.

To use our Services, you may be asked to provide information such as your email address, billing details, payment information and shipping address. You confirm that all information you provide is accurate, current and complete.

You are solely responsible for maintaining the security of your account and for all activity under it. Account credentials may not be transferred, sold or assigned to another person.

Section 2 – Our Products

We describe and photograph our clothing as accurately as we can, including fabric composition and fit notes, but colours and appearance may vary depending on the device and display settings you use to view our store.

We do not guarantee that the quality or appearance of any product will meet your individual expectations or match exactly what is shown on the website.

Product descriptions are subject to change at any time without notice. We reserve the right to discontinue any product or limit quantities per person, region or jurisdiction.

Section 3 – Orders

Placing an order is an offer to purchase. We may accept or decline any order at our discretion, for example if an item is out of stock, if payment is not authorised, if the delivery address is one we cannot ship to, or if we suspect fraud. An order is not confirmed until we send a written acceptance, and payment must be received before that confirmation is issued.

Please review your order carefully before submitting it, as we may not always be able to accommodate a cancellation once an order has been accepted. If we decline or cancel an order, we will attempt to notify you using the contact details provided, and if you have already paid, you will receive a full refund.

We cannot deliver to PO Boxes, to APO/FPO/DPO military addresses, or to places our carrier does not serve. Please check your address before ordering, as a wrong or incomplete address will delay delivery.

All purchases are subject to our Return & Refund Policy. By placing an order, you confirm the items are for your own personal use and not for commercial resale or export.

Section 4 – Prices and Billing

Prices, discounts and promotions may change at any time without notice. The price applied to your order is the one shown at checkout and confirmed in your order confirmation. Unless stated otherwise, listed prices exclude taxes, shipping, handling, customs or import charges.

Occasionally an item may be listed with an incorrect price or description. If this happens, we are not obliged to fulfil the order at the incorrect price. We will contact you so you can confirm the order at the correct price or cancel it for a full refund.

By submitting payment, you confirm that: your payment details are true and correct; you are authorised to use the payment method; charges will be honoured by your payment provider; and you accept responsibility for all applicable charges, including shipping and taxes. Every transaction is encrypted over SSL and handled by a certified payment provider, and no card details are stored on our own servers. We accept Visa, Mastercard, American Express, Maestro, Apple Pay and Google Pay.

Section 5 – Shipping and Delivery

Order processing normally takes 1 to 3 business days before your order leaves our fulfilment centre, and transit normally takes a further 5 to 8 business days, so roughly 6 to 11 business days from your order date. These are working estimates, not guarantees. We are not liable for delays caused by carriers, customs, public holidays, weather or other circumstances beyond our control. We email a tracking number as soon as your order ships, and our Track Your Order page shows the current status at any time.

Because delivery times are estimates, we cannot accept liability for an item arriving later than an event you purchased it for. If you are ordering for a wedding or another fixed date, please order in good time. Once an order has been handed to the carrier, risk of loss transfers to you, though if a parcel arrives damaged or goes missing, we will raise a claim with the carrier and keep you updated, and a failed delivery or returned parcel will be reshipped.

Section 6 – Intellectual Property

All content on our Services, including trademarks, text, images, graphics, product photography, reviews, video and audio, is owned by Emma & Blake New York, its affiliates or licensors, and is protected under applicable intellectual property law.

These Terms permit personal, non-commercial use only. You may not reproduce, distribute, modify or transmit any of our content without our prior written consent. All rights not expressly granted are reserved by us.

The Emma & Blake New York name, logo and related branding are trademarks of Emma & Blake New York and may not be used without our prior written permission. Shopify's trademarks remain the property of Shopify Inc.

Section 7 – Optional Tools

We may provide access to third-party tools through our Services, such as our order tracking tool. We do not monitor or control these tools, and they are provided "as is" and "as available" without warranties or endorsements of any kind. We have no liability arising from your use of them.

Use of any optional tool is entirely at your own risk, and you should review the relevant third party's own terms before using it. Any new tools or features we introduce in the future are also subject to these Terms.

Section 8 – Third-Party Links

Our Services may include links to third-party websites or content not affiliated with us. We are not responsible for examining or evaluating their accuracy or content, and we do not warrant or accept liability for any third-party materials, websites, products or services. Visiting a third-party website is done entirely at your own risk. Please review the third party's own policies before engaging in any transaction with them.

Emma & Blake New York is powered by Shopify, but all sales are made directly between you and Emma & Blake New York. By using our Services, you acknowledge that Shopify bears no responsibility for any aspect of your transactions with us, and you release Shopify and its affiliates from any related claims or liabilities.

Section 10 – Privacy

Your submission of personal information through our Services is governed by our Privacy Policy. By using our Services, you confirm that you have read and understood it. As our Services are hosted by Shopify, certain data may also be shared with Shopify and its partners.

Section 11 – Comments, Feedback and Other Submissions

If you send us reviews, suggestions, photos or other feedback, whether requested or not, you grant us a perpetual, worldwide, royalty-free licence to use, reproduce, publish and distribute that content in any medium for any purpose, without compensation owed to you. You confirm you own or have the rights to anything you submit, and that it does not violate any third party's rights or contain anything unlawful, defamatory, obscene, or otherwise objectionable. You are solely responsible for your submissions. We may, but are not obligated to, monitor, edit or remove any submission at our discretion.

Section 12 – Errors, Inaccuracies and Omissions

Our Services may occasionally contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct these, and to update information or cancel orders affected by such an error at any time, including after you have placed an order, without prior notice.

You may only use our Services for lawful purposes. You may not use our Services: for any unlawful purpose; to solicit others to perform unlawful acts; to violate any applicable regulations or laws; to infringe our intellectual property rights or those of others; to harass, abuse, defame or discriminate against anyone; to submit false or misleading information; to transmit viruses or malicious code; to collect or track other users' personal information; to spam, phish or scrape our Services; or to interfere with or circumvent our security features. Violating any of these may result in immediate suspension or termination of your access.

Section 14 – Disclaimer of Warranties; Limitation of Liability

We do not guarantee that your use of our Services will be uninterrupted, timely, secure or error-free, or that results obtained from our Services will be accurate or reliable. Our Services and products are provided "as is" and "as available", without warranties of any kind except as expressly stated in these Terms and our policies.

To the fullest extent permitted by law, Emma & Blake New York, its affiliates, officers, employees and service providers are not liable for any indirect, incidental, punitive or consequential damages arising from your use of our Services or products, even where the possibility of such damages was known. Where the law does not allow such exclusions, our liability is limited to the maximum extent the law permits. Nothing in these Terms limits any right you have under consumer law that cannot be limited.

You agree to indemnify and hold harmless Emma & Blake New York, Shopify, and their respective affiliates, officers and employees from any claims, losses or costs, including legal fees, arising from your breach of these Terms, any violation of law, or your use of our Services.

We may suspend or terminate your access to our Services at any time, with or without notice, including if we believe you have violated these Terms. You remain responsible for all amounts due up to the date of termination, and any provision that should reasonably survive termination will continue to apply.

Section 17 – Severability

If any part of these Terms is found unenforceable, that part will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full effect.

Section 18 – Waiver; Entire Agreement

Our failure to enforce any provision of these Terms is not a waiver of that provision. These Terms, together with our published policies, are the entire agreement between you and us and supersede any prior agreements or understandings.

Section 19 – Assignment

You may not transfer or assign these Terms without our prior written consent. We may assign these Terms without restriction.

Section 20 – Governing Law

These Terms are governed by the law of the state in which Emma & Blake New York primarily operates in the United States, and any dispute falls under the jurisdiction of the courts there.

Section headings are included for convenience only and do not affect the interpretation of these Terms.

The most current version of these Terms is always available on this page. We may update them at any time, and your continued use of our Services after any change constitutes acceptance of the revised Terms.
